Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and VibeKeeper Ltd, a company incorporated in Singapore ("VibeKeeper", "we", "us" or "our"). By accessing or using the VibeKeeper service and website (the "Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

VibeKeeper provides an AI-powered security service that scans your VibeKeeper repositories for prompt injections, leaked secrets, and other vulnerabilities. The Service may include features such as automated scanning, vulnerability reports, and integration with third-party platforms (including GitHub) as described on our website.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that you will use the Service in compliance with all applicable laws and these Terms.

4. Account and Access

You may need to create an account or connect via a third-party provider (e.g. GitHub) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

6. Intellectual Property

The Service, including its design, software, content, and trademarks, is owned by VibeKeeper Ltd and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for its intended purpose. You retain ownership of your repositories and data; we do not claim any ownership over your code.

7. Subscription, Payment and Refunds

Certain parts of the Service may require a paid subscription or credits. Pricing is displayed on our website and in the Service. By subscribing or purchasing credits, you agree to pay the applicable fees. All fees are in the currency specified and exclude applicable taxes unless otherwise stated.

Subscriptions may renew automatically unless cancelled before the renewal date. Refund eligibility is determined on a case-by-case basis in accordance with our refund policy and applicable consumer law. Contact support@vibekeeper.com for refund requests.

8. Data and Privacy

Our collection and use of your personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to such collection and use in accordance with our Privacy Policy.

9. Third-Party Services

The Service may integrate with third-party services (e.g. GitHub). Your use of those services is subject to their respective terms and policies. We are not responsible for the availability, content, or conduct of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GUARDKEEPER SCANS ARE DESIGNED TO ASSIST IN IDENTIFYING VULNERABILITIES BUT DO NOT GUARANTEE COMPLETE SECURITY; YOU REMAIN RESPONSIBLE FOR THE SECURITY OF YOUR REPOSITORIES AND DATA.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUARDKEEPER LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED POUNDS (£100), WHICHEVER IS GREATER.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

12. Indemnity

You agree to indemnify and hold VibeKeeper Ltd, its officers, directors, employees, and agents harmless from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Term and Termination

These Terms apply for as long as you use the Service. We may terminate or suspend your access at any time, with or without cause or notice. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) shall survive termination.

14. Governing Law and Jurisdiction

These Terms are governed by English law. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. Changes

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
